3. At Article 2. BACKGROUND

AFTER "The Department of National Defence has a requirement to
obtain In-Service Support for two new classes of vessels
procured under the National Shipbuilding Procurement Strategy,
the Arctic/Offshore Patrol Ships and the Joint Support Ships."
INSERT:

For planning purposes only: the first ship delivery for the
Joint Support Ships is expected in 2017-2018 and the first ship
delivery for the Arctic/Offshore Patrol Ships is in 2018. The
projects are tracking toward these delivery timeframes, and both
the Arctic/Offshore Patrol Ships and Joint Support Ships
projects are in their Definition phases. During the project
Definition phase, highly complex work to refine and progress
ship designs, construction implementation planning, costings,
and schedules is being done.

The Department of National Defence's Project Management Office
for the Joint Support Ships is currently working with the aim to
complete construction of the first Joint Support Ship in
2017-2018; however, the target date depends upon the readiness
of the the National Shipbuilding Procurement Strategy designated
shipyard (Vancouver Shipyard Co. Ltd.) to support the Joint
Support Ships build, and upon the sequence of construction for
both the Joint Support Ships and CCG Polar Icebreaker projects.

The Project Management Office for the Arctic/Offshore Patrol
Ships is continuing engagement to reach its target dates."

LETTER OF INTEREST

Arctic/Offshore Patrol Ship and Joint Support Ship In-Service
Support Projects

1. PURPOSE

The purpose of this Letter of Interest is to invite interested
companies to an Industry Day in Gatineau, Quebec. The Industry
Day will provide an update on the status of the Arctic/Offshore
Patrol Ship and Joint Support Ship In-Service Support projects.

Interested companies are also invited to participate in the
French and English Industry Day Webinars. The Webinars will
provide an opportunity for Industry to participate if they
cannot attend the in-person Industry Day.

Recognizing the capabilities of Canada's marine sector, the
Government of Canada wishes to consult with Industry in order to
establish the preferred procurement strategy to obtain long-term
and sustainable In-Service Support for the Arctic/Offshore
Patrol Ship and Joint Support Ship projects.

At this time, the Government of Canada is considering a number
of procurement options, which will be presented at Industry Day
for feedback.

Industry will be advised on the proposed process and milestones.

This Letter of Interest is not a call for Tenders or a Request
For Proposal. No agreement or contract will be entered into,
with any person or entity, based solely on this Letter of
Interest. The issuance of this Letter of Interest is not to be
considered in any way a commitment by the Government of Canada
or as authority to potential participants to undertake any work,
which could be charged to Canada. This Letter of Interest is
not to be considered as a commitment to issue a Request for
Proposal or award contract(s) for these projects.

2. BACKGROUND

The Department of National Defence has a requirement to obtain
In-Service Support for two new classes of vessels procured under
the National Shipbuilding Procurement Strategy, the
Arctic/Offshore Patrol Ships and the Joint Support Ships with
the delivery of the first ship expected to be in 2018.

The National Shipbuilding Procurement Strategy encompasses three
streams: large ship construction, small ship construction and
ship repair, refit and maintenance. Through this Strategy,
Canada has established a long-term sourcing relationship with
two Canadian shipyards. These shipyards were selected through a
national competition designating them as strategic sources of
supply, one for large combat vessels (Irving Shipbuilding, who
will build the Arctic/Offshore Patrol Ships) and the other for
large non-combat vessels (Vancouver Shipyards, who will build
the Joint Support Ships). The Strategy states that the repair,
refit and maintenance of ships in the Government fleet will be
sourced through competitive procurement processes in accordance
with standard policies.

3. LEGISLATION, TRADE AGREEMENTS AND GOVERNMENT POLICIES

The following is indicative of some of the legislation, trade
agreements and government policies, which could impact the
Arctic/Offshore Patrol Ship and Joint Support Ship In-Service
Support projects:

a. Agreement on Internal Trade and National Security Exception:
This procurement is not subject to the Agreement on Internal
Trade as the National Security Exception has been invoked for
each project;

b. North American Free Trade Agreement and World Trade
Organization
Agreement on Government Procurement: This procurement is
excluded from the North American Free Trade Agreement in
accordance with the North American Free Trade Agreement Chapter
Ten, Annex 1001.1b-2 Section B, Annex 1001.2b General Note 1(a),
and from the World Trade Organization Agreement on Government
Procurement Appendix 1, Annex 1 and Annex 4, Note No. 4;

c. The Canadian Shipbuilding Policy and the Shipbuilding,
Repair, Refit and Modernization Policy will apply;

d. Canadian Content Policy: The Canadian Content Policy does not
apply to procurements subject to Cabinet-mandated sourcing
relating to shipbuilding, ship repair, refit and mid-life
modernization;

e. Industrial and Regional Benefits (IRBs) policy will apply to
this procurement;

f. Controlled Goods Program: This procurement is subject to the
Controlled Goods Program;

g. Federal Contractors Program for Employment Equity: The
Federal Contractors
Program for Employment Equity will apply to this procurement;

h. Comprehensive Land Claims Agreements: Comprehensive Land
Claims Agreements will apply as some work and goods may be
performed and delivered to a land claim area.
