Letter of Interest

Industry Engagement
for the
Canadian Surface Combatant Project

1. PURPOSE

The purpose of this Letter of Interest (LOI) is to invite
private sector firms and industry associations interested in the
Canadian Surface Combatant (CSC) Project to:

a. attend the CSC Industry Engagement Kick-Off Session on Nov.
15, 2012; and/or

b. submit written responses to Canada's questions soliciting
industry recommendations on the procurement approach which will
lead to an implementation contract or contracts for combat ships.

This LOI is neither a call for Tenders nor a Request for
Proposal (RFP). No agreement or contract will be entered into,
with any person or entity, based on this LOI. The issuance of
this LOI is not to be considered in any way a commitment by the
Government of Canada or as authority to potential participants
to undertake any work, which could be charged to Canada. This
LOI is not to be considered as a commitment to issue an RFP or
award contract(s) for this Project.

Canada reserves the right to change, at any time, all or parts
of this LOI and Industry Engagement approach as deemed
necessary. Written responses will become the property of Canada
and will not be returned. All responses will be treated as
confidential, subject to the provisions of the Access to
Information Act (R.S. 1985, c. A-1) and the Privacy Act (R.S.,
1985, c. P-21).

Respondents will not be reimbursed for any cost incurred to
provide a response to this LOI or to attend CSC Industry
Engagement meetings. Any and all expenses incurred by industry
in pursuing this opportunity are at industry's sole risk and
expense.

Canada welcomes industry feedback/comments on any or all aspects
of this procurement. Written responses may be submitted in
either of Canada's official languages.

2. BACKGROUND

The Canada First Defence Strategy (CFDS) states the requirement
"to replace Canada's destroyers and frigates to ensure that the
Canadian Forces can continue to monitor and defend Canadian
waters and make significant contributions to international naval
operations." The Canadian Surface Combatant (CSC) Project has
been created to deliver the combat ships to meet this
requirement.

Canada's National Shipbuilding Procurement Strategy (NSPS) is
the program through which Canada is rebuilding the fleets of the
Royal Canadian Navy and Canadian Coast Guard.

Our intent is that the ships which comprise the CSC will consist
of two variants - the first of these being the Area Air Defence
and Task Group Command and Control variant and the second being
the General Purpose variant.

Irving Shipbuilding Inc. is the NSPS selected shipyard.
Information on the NSPS can be found at:
http://www.tpsgc-pwgsc.gc.ca/app-acq/sam-mps/snacn-ns…

A project web site has been created to provide information to
industry regarding the CSC Project.

The address of this web site is:
http://www.materiel.forces.gc.ca/en/cscp.page

3. LEGISLATION, TRADE AGREEMENTS AND GOVERNMENT POLICIES

The following is indicative of some of the legislation, trade
agreements and government policies which will be addressed by
the eventual Request for Proposals for the CSC Project:

A) The Department of National Defence has invoked a National
Security Exception (NSE) for the CSC procurement;

B) This procurement is not subject to the Trade Agreements as a
NSE has been invoked;

C) IRBs are a mandatory element in the CSC project. The
successful contractor will be required to provide IRBs to Canada
valued at 100% of the contract value for the Project
Implementation. Detailed IRB requirements and instructions will
be issued with any subsequent Request for Proposal. The IRB
Policy is administered by Industry Canada with assistance from
the Regional Development Agencies. To obtain information about
Canada's IRB Policy, visit: www.ic.gc.ca/irb

D) Controlled Goods Program (CGP): This procurement may be
subject to the CGP. For further information on the CGP, visit:
