AUTOMATED LEGAL INFORMATION EXTRACTION SYSTEM
An ACAN is a public notice indicating to the supplier community
that a department or agency intends to award a contract for
goods, services or construction to a pre-identified supplier,
thereby allowing other suppliers to signal their interest in
bidding, by submitting a statement of capabilities. If no
supplier submits a statement of capabilities that meets the
requirements set out in the ACAN, on or before the closing date
stated in the ACAN, the contracting officer may then proceed
with the award to the pre-identified supplier.
DEFINITION OF REQUIREMENTS
The Department of Justice Canada requires commercial
off-the-shelf software that can carry out an automated
extraction of information from legal documents. The software's
extractions must meet the standards in the field in accordance
with The Preparation, Citation and Distribution of Canadian
Decisions guide, which was adopted by the Canadian Judicial
Council and is available at the following link:

The software must be compatible with Department of Justice
Canada systems and allow for the integration of the data
extractions into the Kentika platform for knowledge management.
Public Works and Government Services plans to enter into a sole
source contract with Lexum informatique juridique inc. for the
procurement of the Décisia platform as well as support and
maintenance services. Furthermore, Lexum informatique juridique
inc. will have to personalize its product to meet Justice
Canada's specific requirements.
CRITERIA FOR ASSESSMENT OF THE STATEMENT OF CAPABILITIES
Any interested supplier must demonstrate by way of a statement
of capabilities that their product and services meet the
following requirements:
1. GENERAL POINTS AND PREREQUISITES
M1- Any software proposed to meet this requirement must be
"off-the-shelf", meaning that each item of software is
commercially available and requires no further research or
development and is part of an existing product line with a
field-proven operational history (that is, it has not simply
been tested in a laboratory or experimental environment). If any
of the proposed software is a fully compatible extension of a
field-proven product line, it must have been publicly announced
on or before the ACAN closing date.
M2- The supplier must have at least 5 years of verifiable
expertise in processing complex legal documents, more
specifically, in extracting and publishing documents such as
judgments, factums filed with the Supreme Court, various
motions, affidavits, etc.
M3- The software must be capable of processing documents written
in English and in French.
M4- Data extractions must meet the same standards established by
the Canadian Judicial Council (CJC), which are available at the

M5- For security reasons, document processing needs to be
carried out within the Department of Justice's network. The
software must therefore be completely functional within the
Department of Justice's network.
M6- The software must be able to be installed on a Departmental
server by Justice Canada staff according to the supplier's
written instructions.
M7- The software documentation must be available in English and
in French.
M8- The software must be functional on Windows Server 2008
(standard at Justice Canada).
M9- The software must be parameterable and easily configurable
so as to allow for adjustments to be made in order to produce
more precise results. Moreover, it must be flexible and dynamic
to allow for the processing of other types of documents and/or
data to be retrieved. These adjustments must be able to be made
within the Department without requiring additional programming
or external programming support.
M10- The software must be high performing, that is to say, data
extraction should take 4 to 6 seconds at most per document;
M11-Software output must be accurate and relevant, i.e. produce
results in which the acceptable margin of error is less than 5%.
M12- The supplier must be able to provide results of performance
testing, demonstrate proper functionality and provide results
generated by the software based on the abovementioned criteria.
Samples of legal documents will be provided for this.
2.OBJECTIVE OF SOFTWARE
M13-The software must be capable of analyzing the following
types of documents taking into account their specificities:
(a)Factums filed with the court
(b)Various procedures
(c)Legal opinions
(d)Decision summaries
M14- The software must have word-processing features such as:
locating data in specific zones, parsing, extraction of data as
well as reorganizing data according to established formats and
standards. The data to be retrieved will be, among other things,
the following:
(a)The case name (meeting the abovementioned standards)
(b)The date in a set format
(c)The internal file No. or Nos.
(d)The name of the Court
(e)The Court No. or Nos.
(f) The author(s)
(g) The area(s) of practice
(h)Legal citation(s)
M15-The software must be able to identify documents that cannot
be published due to potential issues related to copyright
protection and/or information security.
3.SUPPORT
M16- The supplier must be able to provide technical support by
telephone or email, from Monday to Friday.
M17-The supplier must be able to provide software updates to
support the development of the various electronic formats. In
addition, software patches must be provided quickly in the event
of any anomalies or incidents.
M18-The supplier must be able to provide training to the system
administrator.
APPLICABILITY OF THE TRADE AGREEMENT(S) TO THE PROCUREMENT
This procurement is subject to the following trade agreement(s):
a. Agreement on Internal Trade (AIT);
b. North American Free Trade Agreement (NAFTA).
JUSTIFICATION FOR THE PRE-IDENTIFIED SUPPLIER
Decisia is the only known online platform dedicated to automated
extraction of information from legal documents, meeting the
standards in the field in accordance with The Preparation,
Citation and Distribution of Canadian Decisions guide, which was
adopted by the Canadian Judicial Council.
GOVERNMENT CONTRACTS REGULATIONS EXCEPTION(S)
Section 6.d of the Government Contract Regulations is being
invoked in this procurement as only one person or firm is
capable of performing the contract.
EXCLUSION AND/OR LIMITED TENDERING REASONS
Annex 4.4 article 506.12(b) of the AIT is applicable on the
basis of limited tendering where there is an absence of
competition for technical reasons and the goods or services can
be supplied only by a particular supplier and no alternative or
substitute exists, respectively.
Article 1016.2(b) of NAFTA is applicable on the basis of limited
tendering due to reasons where, for works of art, or for reasons
connected with the protection of patents, copyrights or other
exclusive rights, or proprietary information or where there is
an absence of competition for technical reasons, the goods or
services can be supplied only by a particular supplier and no
reasonable alternative or substitute exists.
OWNERSHIP OF INTELLECTUAL PROPERTY
Ownership of any Foreground Intellectual Property arising out of
the proposed contract will vest in the Contractor.
PERIOD OF THE PROPOSED CONTRACT AND DELIVERY DATE(S)
The proposed contract is for a period of 1 year, plus 5 one-year
irrevocable options. All deliverables mentioned in the
requirement must be delivered within 10 days of Contract award.

SUPPLIER'S RIGHT TO SUBMIT A STATEMENT OF CAPABILITIES
Suppliers who consider themselves fully qualified and available
to provide the goods, services or construction services
described in the ACAN, may submit a statement of capabilities in
writing to the contact person identified in this notice on or
before the closing date of this notice. The statement of
capabilities must clearly demonstrate how the supplier meets the
advertised requirements. The conditions of the developer's
shrink-wrap license are not acceptable to the Crown.
This software is proprietary, and the proposed Contractor must
have the authority to negotiate the terms and conditions of the
contract and the related software licensing terms including, but
not limited to; limitation of liability, indemnification,
transferability of license, termination/refund to the Crown.

You are hereby notified that the government intends to negotiate
with one firm only as identified above. Should you have any
questions concerning this requirement, contact the contracting
officer identified above.
An Advance Contract Award Notice (ACAN) allows departments and
agencies to post a notice, for no less than fifteen (15)
calendar days, indicating to the supplier community that it
intends to award a good, service or construction contract to a
pre-identified contractor. If no other supplier submits, on or
before the closing date, a Statement of Capabilities that meets
the requirements set out in the ACAN, the contracting authority
may then proceed with the award. However, should a Statement of
Capabilities be found to meet the requirements set out in the
ACAN, then the contracting authority will proceed to a full
tendering process.
Suppliers who consider themselves fully qualified and available
to provide the services/goods described herein, may submit a
statement of capabilities in writing to the contact person
identified in this Notice on or before the closing date of this
Notice. The statement of capabilities must clearly demonstrate
how the supplier meets the advertised requirements.
The PWGSC file number, the contracting officer's name and the
closing date of the ACAN must appear on the outside of the
envelope in block letters or, in the case of a facsimile
transmission, on the covering page.
The Crown retains the right to negotiate with suppliers on any
procurement.
