Public Notice of Ferry Purchase
Replacement of MV Princess of Acadia Project

1. PURPOSE
1.1 The purpose of this Public Notice of Ferry Purchase ("Public
Notice") is to provide notice that Transport Canada has an
immediate requirement to replace the MV Princess of Acadia and
to request information regarding any potential existing vessels
available for sale for the Replacement of MV Princess of Acadia
in accordance with the requirements identified below.
1.2 This Public Notice is neither a call for Tenders nor a
Request For Proposal (RFP). No agreement or contract will be
entered into, with any person or entity, based on this Public
Notice. However, if Canada locates a suitable vessel which best
meets its requirements during the vessel identification and
selection process outlined in this Public Notice, Canada may
seek to enter into a contract to acquire that vessel. The
issuance of this Public Notice is not to be considered in any
way a commitment by the Government of Canada or as authority for
participants to undertake any work, which could be charged to
Canada. This Public Notice is not to be considered as a
commitment to issue a RFP or award contract(s) for this Project.
1.3 Canada reserves the right to change, at any time, all or
parts of its requirement as deemed necessary. All responses
become the sole property of Canada. Respondents will not be
reimbursed for any cost incurred to provide a response to this
Public Notice.
2. BACKGROUND

2.1 On June 24th, 2013 the Government of Canada announced its
intention to invest in a replacement vessel for the
federally-owned MV Princess of Acadia. Traveling the 70
kilometers between St-John, New-Brunswick and Digby, Nova
Scotia, the MV Princess of Acadia, operates on a year-round
basis carrying passenger and commercial traffic.

2.2 The MV Princess of Acadia was built in 1971. A replacement
vessel will ensure safe, reliable and efficient operation of the
ferry service.

2.3 The process to find a replacement vessel for the MV Princess
of Acadia involves the identification and review of suitable
candidate vessels from all over the world, including Canada.
After completing various reviews, Canada will select and
purchase a vessel which best meets its requirements.

2.4 Once the vessel has been purchased by Canada, the
modifications and refit of the selected vessel will be competed
amongst Canadian shipyards in accordance with the Canadian
Shipbuilding Policy.

4. PROCESS FOR VESSEL IDENTIFICATION AND SELECTION:

It is currently planned that the process to select a suitable
vessel to replace MV Princess of Acadia will be conducted in the
following steps:

4.1 Step 1 - IDENTIFICATION

4.1.1 Transport Canada has defined the basic vessel
requirements, including the capacity and key capabilities, based
on operational requirements. These are outlined in Annex A
"Vessel Search Parameters".

4.1.2 Canada will use two processes to identify vessels which
meet the Vessel Search Parameters. First, Canada is requesting
that parties with vessels which meet the Vessel Search
Parameters specified at Annex A notify Canada in accordance with
the process detailed in this Public Notice. Second, Canada is
also scanning the domestic and international market, including
by searching Internet Databases, to identify vessels which meet
the same Vessel Search Parameters.

4.1.3 Canada will, in its discretion, verify that all vessels
identified through both processes meet the Vessel Search
Parameters in Annex A. Canada may request additional information
from the vessel's owner or agent in order to assist with the
review. Vessels which meet the Vessel Search Parameters will be
considered candidate vessels for further review.

4.2 Step 2 - SUBSTANTIVE ASSESSMENT

4.2.1 Transport Canada through a committee of technical experts,
will assess the physical condition, compatibility with the
existing infrastructure, regulatory compliance, capability, and
operating costs of the candidate vessels. Canada may request
additional information from the vessels' owners or agents in
order to assist with the review. As a result of this substantive
review, Canada intends to narrow down the list of candidate
vessels to those that come closest to the optimum solution with
a balance of all factors.

4.3 Step 3 - PHYSICAL ANALYSIS

4.3.1 In order to make a final selection, a project team will
travel onsite to undertake a more thorough physical analysis of
the vessels which remain as candidate vessels after the
substantive assessment.

4.3.2 It is expected that the physical analysis will include the
following:

· An examination of key equipment and areas, including the
vessel navigational equipment, structural tanks, machinery
spaces, and lifesaving equipment
· An in-water survey conducted by a class approved diver;
· An assessment of the overall condition of the vessel;
· An assessment of the vessel preventative maintenance system
software; and
· Witnessing of the running of all equipment.

4.3.3 The physical analysis will also include a comprehensive
review of all changes expected to be required in a subsequent
refit of the vessel.

4.4 Step 4 - SELECTION

4.4.1 Using the process described above, Canada will assess the
candidate vessels and will select, at its discretion, a vessel
for purchase which best meets its requirements. Canada will
have the full discretion to select and purchase the vessel of
its choice given the requirement immediacy, its operational
requirements and the budget.

5. INSTRUCTIONS FOR RESPONSES TO THIS PUBLIC NOTICE

If an entity considers that it has a vessel which meets the
Vessel Search Parameters in Annex A, Canada requests the
following information be provided in written response to this
Public Notice no later than January 03, 2014:

5.1 Details Regarding the Vessel

a) Name of the vessel
b) Name of builder
c) Country where the vessels is registered/flagged
d) The current home port of the vessel
e) The name of the classification society under which the vessel
is classed
f) Written confirmation that the candidate vessel meets all of
the Vessel Search Parameters specified in Annex A. Please
complete the Candidate Vessel Parameter column as part of Annex
A.
g) Provide a cost breakdown and the total price for the
candidate vessel, Delivered, Duty Paid, to St-John
New-Brunswick, Canada in accordance with Incoterms 2010
published by the International Chamber of Commerce.

5.2 Details regarding the respondent:

a) The owner and, if applicable, the agent for the owner of the
vessel shall provide their full legal name, and jurisdiction of
incorporation (if applicable).
b) The respondent shall provide written confirmation that it is
the owner of the vessel or the respondent should provide
supporting documentation to confirm that the respondent is the
sole agent for the owner of the vessel for the purposes of
affecting the sale of the vessel. Supporting documentation
could be in the form of a signed agreement between the owner of
the vessel and the agent.
c) Only one respondent will be considered for each vessel. In
the event that two responses are received for the same vessel,
the owner of the vessel will have to make the final decision on
the identification of the respondent.

All responses to this notice must be submitted no later than
January 3, 2014.

8. FUTURE SOLICITATION

Once the vessel has been purchased, the modifications and refit
of the selected vessel will be competed amongst Canadian
shipyards in accordance with the Canadian Shipbuilding Policy.
This process will follow Public Works and Government Services
Canada standard practice for vessel refit.

Delivery Date: 31/03/2015

The Crown retains the right to negotiate with suppliers on any
procurement.
