Terms of Service

Commercial customer subscription and user agreement

Last updated: 1 November 2026

Important notice: please read these Terms of Service carefully before creating an account or using the Tendarix platform. By accessing or using tendarix.ca, you agree to be bound by these Terms, including all disclaimers of warranty and limitations of liability.

1. Acceptance of Terms and operating entity

These Terms of Service (“Terms”) are a legally binding agreement between you, whether personally or on behalf of an entity (“Client”, “Subscriber” or “User”), and Tendarix, operated by Synapcy Development INC. and its corporate affiliates (“Tendarix”, “Company”, “we”, “us” or “our”). They govern your access to and use of the web platform at https://tendarix.ca and associated services (the “Platform”).

2. Description of services and AI features

Tendarix is a procurement intelligence and notification platform that aggregates public tender data, RFPs, bids and procurement notices from federal, provincial, municipal and institutional bodies in Canada. It provides automated search, keyword filtering, bilingual summaries (English and French), match scoring and procurement workflow tools.

  • AI-assisted features: The Platform uses artificial intelligence and machine learning models to generate tender summaries, translations, fit scores, match explanations and draft content. You acknowledge that AI-generated output is provided for information and preliminary review only and is not legal, procurement or bid-submission advice.

3. User accounts, credentials and security

You must register for an account to use paid and personalized features. You agree to:

  • provide accurate, current and complete registration information;
  • keep your password and credentials secure and confidential;
  • restrict access to your account to authorized personnel within your legal entity; and
  • promptly notify Tendarix of any unauthorized use or suspected security breach at info@tendarix.ca.

You remain responsible for all activity, charges and actions under your account.

4. Subscription plans, billing and taxes

Tendarix offers a Free plan and a paid Pro plan, billed monthly at the price shown when you subscribe.

  • Payment authorization: You authorize Tendarix, through our payment processor, to charge your designated payment method at the beginning of each billing period.
  • Auto-renewal and cancellation: Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from the Billing page before your renewal date, and your access continues until the end of the period you have paid for.
  • Currency and taxes: Fees are quoted in Canadian dollars (CAD) and exclude applicable federal, provincial or local sales taxes. Where we are required to collect those taxes, they are added and shown at checkout or on your invoice. See our Billing & Tax Policy.
  • Non-refundability: Subscription fees paid in advance are non-refundable, except where required by applicable law or set out in a written agreement with Tendarix.

5. Acceptable use and restrictions

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform strictly for internal business procurement intelligence. You agree not to:

  • license, sell, resell, lease, transfer or commercially exploit Platform content or access;
  • scrape, crawl, extract or harvest data from Tendarix using automated bots, spiders or scripts without our prior written consent;
  • reverse engineer, decompile, disassemble or attempt to derive the source code or underlying AI models of Tendarix;
  • bypass rate limits, security measures or access controls on tendarix.ca;
  • use the Platform to send unsolicited commercial communications (spam) or deceptive marketing material; or
  • interfere with or disrupt the integrity, capacity or performance of the Platform or third-party data feeds.

6. Data sourcing and third-party procurement notices

Tendarix aggregates procurement notices and public tender feeds from public-sector databases, open data portals and government procurement sites. Tendarix does not issue public tenders and is not affiliated with, endorsed by, or an agent of any government procurement authority unless explicitly stated.

  • Verification duty: Official tender documents, addenda, closing deadlines and submission rules are governed exclusively by the issuing organization. You must verify all critical deadlines, amendments and bidding criteria directly on the issuing buyer’s official portal before submitting any bid or RFP response. See our Data Sources & Accuracy Policy.

7. Intellectual property rights

All right, title and interest in the Platform, including its software, source code, database schemas, user interfaces, branding, logos, domain names and underlying algorithms, belong exclusively to Tendarix and its licensors. Underlying procurement notices remain the property of their issuing authorities. Nothing in these Terms transfers any ownership or proprietary right to you beyond the limited licence granted here.

8. Disclaimer of warranties

THE PLATFORM, INCLUDING ALL DATA FEEDS, SEARCH RESULTS, NOTIFICATIONS AND AI-GENERATED SUMMARIES, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TENDARIX EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, TIMELINESS AND NON-INFRINGEMENT. TENDARIX DOES NOT WARRANT THAT TENDER DATA WILL BE ERROR-FREE, UNINTERRUPTED OR COMPREHENSIVE OF ALL CANADIAN TENDERS, OR THAT NOTIFICATIONS WILL ARRIVE WITHOUT TECHNICAL DELAY.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TENDARIX, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST BUSINESS OPPORTUNITIES, FAILED TENDER BIDS, BID PREPARATION COSTS, LOSS OF DATA OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

CAP ON LIABILITY: TENDARIX’S AGGREGATE TOTAL CONTRACTUAL AND EXTRA-CONTRACTUAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL IN NO EVENT EXCEED THE GREATER OF THE TOTAL FEES ACTUALLY PAID BY YOU TO TENDARIX IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY, OR CAD $100.00.

Nothing in these Terms excludes or limits any right or liability that cannot be excluded or limited under applicable law, including consumer protection law.

10. Indemnification by Client

You agree to defend, indemnify and hold harmless Tendarix and its officers, directors, employees and corporate partners against any third-party claims, losses, liabilities, costs or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of tender data; or (c) any procurement bid or contract you submit or enter into using Platform information.

11. Term, termination and account suspension

These Terms remain in force for as long as you maintain an account or access the Platform. Tendarix may suspend or terminate your access immediately, without prior notice or refund, in the event of: (a) material breach of these Terms; (b) non-payment of subscription fees; or (c) suspected fraudulent or unauthorized activity.

On termination your right to access the Platform ends immediately, but Sections 4, 7, 8, 9, 10, 12 and 13 survive.

12. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any legal action, claim or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively before the courts of competent jurisdiction located in Toronto, Ontario, Canada, and you submit to the personal jurisdiction of those courts.

13. Modifications and contact information

Tendarix may modify these Terms at any time. We will give notice of material updates by posting the revised Terms on tendarix.ca with an updated date, or by email to active subscribers. Continued use of the Platform after that notice means you accept the modified Terms.
